Terms of Use

1. Introduction & acceptance
These Terms of Use ("Terms") form a binding agreement between you ("you", "your") and Bravo Technology Inc. ("Bravo", "we", "us", "our"), a company incorporated in British Columbia, Canada.
These Terms govern your access to and use of the Bravo Card, a digital dining-rewards card that lives inside your Apple Wallet or Google Wallet (the "Service"). The Bravo Card is not a Bravo eGift Card; the eGift Card product is governed by a separate agreement.
By creating an account, adding a Bravo Card to a wallet, or otherwise using the Service, you confirm that you have read, understood, and agreed to these Terms. If you do not agree, do not use the Service.
2. Definitions
- Bravo Card — the digital pass issued by Bravo that you add to your Apple Wallet or Google Wallet.
- Linked Payment Card — the credit or debit card you authorise Bravo to associate with your account through our payment processor.
- Bonus — the dining-reward balance you earn from qualifying transactions at Partner Restaurants.
- Partner Restaurant — a merchant participating in the Bravo network. The list of Partner Restaurants changes from time to time.
- Service — the Bravo Card platform, including the website, the wallet pass, our payment and rewards back-end, and any related features.
3. Eligibility
To use the Service you must:
- be at least 18 years of age;
- be a resident of Canada;
- have a valid Apple Wallet or Google Wallet account on a compatible device; and
- be legally able to enter into a binding contract under the laws of your province or territory of residence.
You may hold only one Bravo account. Accounts are personal and may not be sold, transferred, or shared.
4. Account registration
To create an account you will provide your email address, phone number, and name. We will verify your phone number using a one-time code (OTP).
You are responsible for:
- keeping your account credentials confidential;
- keeping the device on which your Bravo Card is installed secure, including by enabling a lock-screen passcode or biometric authentication;
- all activity that occurs through your account; and
- notifying us promptly at support@bravoup.ca if you suspect unauthorised access.
We may suspend or close any account where we reasonably believe these Terms have been violated.
5. Linked Payment Cards
When you sign up, you authorise Bravo to link an eligible credit or debit card (the Linked Payment Card) to your account. Linking is handled by our payment processor, Stripe, Inc. ("Stripe"); Stripe stores and processes your card details under industry-standard PCI-DSS controls. Bravo does not store your full card number on our own servers.
By linking a card you represent that:
- you are the cardholder, or you have the cardholder's express permission to add the card; and
- the card is in good standing.
Bravo does not directly charge your Linked Payment Card for restaurant transactions. Payments at Partner Restaurants run through your Linked Payment Card the same way any normal point-of-sale transaction does; Bravo's role is to track qualifying transactions, record Bonus, and apply Bonus to future purchases as described in Section 8.
You may unlink or replace your Linked Payment Card at any time from your Bravo Card settings. Unlinking does not delete your account or your Bonus balance.
Disputes about charges to your Linked Payment Card are governed by your agreement with the card issuer and must be raised with your card issuer, not with Bravo.
6. How the Bravo Card works
Your Bravo Card displays a dynamic QR code that refreshes after each scan. To use the card at a Partner Restaurant, open the card in Apple Wallet or Google Wallet and show the QR code to your server when paying. Once the payment on your Linked Payment Card is confirmed, the transaction qualifies for Bonus under Section 8.
The Bravo Card is designed to work without an active internet connection ("offline mode"). Offline transactions sync to your account when your device next connects to the internet.
The Bravo Card is non-transferable. It is tied to the registered account and the device on which the wallet pass is installed.
7. Device security & unauthorised use
The Bravo Card lives inside your Apple Wallet or Google Wallet on your personal device. Anyone who can unlock your device and open your wallet can present the Bravo Card's QR code. You are responsible for keeping your device, wallet, and any associated biometric, passcode, or PIN credentials secure.
Treating your Bravo Card responsibly is analogous to treating a physical credit or debit card responsibly. In particular:
- If you voluntarily share your device, your wallet, or your Bravo Card's QR code with another person — including by handing your phone to someone at a restaurant or letting another person scan or photograph the code — any transactions made by that person are treated as authorised by you. Bravo cannot detect the difference between you presenting the code and a third party doing so.
- The dynamic QR code refreshes after each scan to reduce the risk of code reuse, but the refresh is a mitigation, not a guarantee of perfect security.
If your device is lost or stolen, or you suspect any unauthorised use of your Bravo Card, you must:
- contact your card issuer (your bank) immediately to dispute any unauthorised transactions on your Linked Payment Card — those transactions are governed by your bank's cardholder agreement, not by Bravo;
- contact Bravo at support@bravoup.ca so we can disable the Bravo Card on your account and re-issue a new one when you are ready;
- take steps to secure your device (remote wipe, change your wallet credentials, etc.).
Bravo's role is to issue and operate the Bravo Card pass. Bravo does not authenticate users at the point of payment beyond the dynamic QR code, and does not process the underlying card transaction — that is done by the merchant, your card issuer, and the payment networks. Bravo is not responsible for transactions made on your Linked Payment Card by any person — including a third party who gains access to your device, your wallet, or your QR code, whether through your voluntary act, through loss or theft of your device, or otherwise. Disputes about a transaction on your Linked Payment Card must be raised with your card issuer in accordance with their dispute-resolution policies.
Nothing in this Section limits any non-waivable consumer right under the British Columbia Business Practices and Consumer Protection Act (the "BPCPA") or other applicable law.
8. Bonus rewards
Earning. When you complete a qualifying payment at a Partner Restaurant using your Bravo Card, you earn Bonus on that transaction. Bonus rates vary by Partner Restaurant. Current rates and any caps are published on the Bravo website or in-app and may change from time to time without amendment of these Terms.
Posting. Bonus is recorded to your account instantly on confirmation of the underlying payment. If the underlying payment is later reversed, charged back, refunded, or otherwise disputed, Bravo may reverse the corresponding Bonus.
Redemption. Bonus is automatically applied to your bill at a Partner Restaurant once your Bonus balance reaches the minimum redemption threshold then in effect. The current threshold is published alongside the rates and may be adjusted from time to time without amendment of these Terms.
Expiry. Bonus does not expire while your Bravo account is open and in good standing.
Closing an account with a positive Bonus balance. If you choose to close your account and you have an unredeemed Bonus balance, contact support@bravoup.ca before closing and we will work with you on a reasonable resolution. Bonus has no independent cash value and is not redeemable for cash. See Section 17 (Termination) for additional details.
Limits. Bonus has no cash value, cannot be sold or transferred, and cannot be withdrawn outside the Service. Bravo may adjust or reverse Bonus that was earned in error, through fraud, in connection with a reversed transaction, or in violation of these Terms.
9. Partner Restaurants
The Bravo network changes from time to time as restaurants join or leave. Marketing references to "500+ Partner Restaurants" or similar are illustrative; we do not guarantee that any specific restaurant is or will remain in the network.
Bravo is not the restaurant. Bravo does not prepare food, serve guests, or operate any Partner Restaurant. Disputes about food, service, pricing, allergens, or any aspect of a restaurant experience are between you and the restaurant.
10. Permitted use & prohibited conduct
You agree not to:
- create more than one account, or create an account on behalf of another person without authorisation;
- use the Service in connection with fraudulent, deceptive, or illegal transactions, including money laundering;
- collude with a Partner Restaurant or any third party to manufacture transactions for the purpose of earning Bonus that does not reflect genuine dining;
- attempt to reverse-engineer, decompile, scrape, or otherwise extract the source code of the Service, the Bravo Card pass, or the dynamic QR code system;
- access the Service through automated means (bots, scripts) without our prior written consent; or
- use the Service in violation of these Terms or applicable law.
Bravo may, in its reasonable discretion, suspend or close any account it believes is engaged in any of the above, and may reverse Bonus earned in connection with such activity.
11. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes what information we collect, how we use it, who we share it with, and your rights regarding that information. Marketing communications are governed by the Privacy Policy.
Payment-card information is collected and stored by Stripe under PCI-DSS controls. Bravo does not retain your full card number on our servers.
12. Service availability & changes
We may modify, suspend, or discontinue the Service or any feature of it, in whole or in part, at any time and for any reason. Where reasonably practicable we will give notice of material changes.
The Service depends on third-party platforms — including Apple Wallet, Google Wallet, and Stripe — that are outside Bravo's control. Outages, restrictions, or policy changes in those platforms may affect your ability to use the Service.
We do not guarantee uninterrupted or error-free availability of the Service.
13. Intellectual property
The Bravo name, logo, wordmark, card designs, software, and content published on the Service are owned by Bravo or its licensors and protected by Canadian and international copyright, trademark, and other intellectual-property laws.
Subject to your compliance with these Terms, Bravo grants you a personal, non-exclusive, non-transferable, revocable licence to:
- install and display the Bravo Card pass in your Apple Wallet or Google Wallet for your personal, non-commercial use; and
- access and use the Service for that purpose.
You may not reproduce, modify, distribute, sell, sublicence, or commercially exploit any part of the Service or the Bravo Card design.
14. Disclaimers
The Service is provided "as is" and "as available". To the maximum extent permitted by applicable law, Bravo disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing, performance, or trade usage.
Bravo does not warrant that:
- the Service will be uninterrupted, error-free, or free from security incidents;
- the dynamic QR code or any other security feature is sufficient to prevent every possible misuse;
- any specific Bonus rate or Partner Restaurant will remain available;
- defects will be corrected; or
- the Service will meet your specific requirements.
Bravo is not responsible for the quality, safety, legality, or any other aspect of the products or services offered by Partner Restaurants.
Nothing in this Section limits any consumer right that cannot be waived under applicable law, including the BPCPA.
15. Limitation of liability
To the maximum extent permitted by applicable law, in no event will Bravo be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, loss of goodwill, business interruption, or substitute-service costs, arising out of or in connection with your use of the Service, even if Bravo has been advised of the possibility of such damages.
Bravo's aggregate liability arising out of or in connection with these Terms or your use of the Service will not exceed the greater of:
- (a) the total fees you paid to Bravo for the Service in the twelve (12) months preceding the event giving rise to the claim (the Service is currently free of charge, so this amount may be zero); or
- (b) CAD $100.
Nothing in this Section limits liability for fraud, gross negligence, wilful misconduct, or any liability that cannot be excluded under applicable law (including under the BPCPA).
16. Indemnification
You agree to indemnify and hold harmless Bravo, its affiliates, and their respective officers, directors, employees, and agents from and against any claim, loss, liability, damage, cost, or expense (including reasonable legal fees) arising out of or in connection with:
- your breach of these Terms;
- your misuse of the Service;
- your violation of any law or regulation; or
- your violation of any third-party right, including any Partner Restaurant.
17. Termination
By you. You may close your account at any time by contacting support@bravoup.ca or by using the account-deletion option in the Service when available. If you have an unredeemed Bonus balance at the time of closure, contact us before closing so we can work with you on a reasonable resolution; Bonus has no independent cash value and is not redeemable for cash.
By us. We may suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms, used the Service fraudulently, or created risk for us or any third party. In such cases we may also reverse any Bonus we reasonably believe was earned in violation of these Terms.
On termination, the licence granted to you in Section 13 ends and you must remove the Bravo Card from your wallet. Sections that by their nature should survive termination (including Sections 8, 13–16, 18, 19, and 20) will survive.
18. Modifications to the Terms
We may update these Terms from time to time. The "Effective date" at the top will reflect the current version. We will notify you of material changes by email, in-product notice, or both, and may require you to affirmatively accept the updated Terms before continuing to use the Service.
Your continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms. If you do not agree to an update, your remedy is to stop using the Service and close your account in accordance with Section 17.
19. Governing law & disputes
These Terms are governed by and will be interpreted in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law rules.
Before commencing any formal proceeding, you agree to first contact us at support@bravoup.ca and make a good-faith effort to resolve the dispute informally. We will respond within a reasonable time.
If the dispute cannot be resolved informally, you and Bravo each agree to submit to the exclusive jurisdiction of the courts of British Columbia for any claim arising out of or in connection with these Terms or the Service, subject to your right to bring a claim in the small-claims court of your home province.
Nothing in this Section limits any non-waivable right under the BPCPA or other applicable consumer-protection law, including your right to participate in collective or class proceedings where the law allows.
20. Miscellaneous
Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Bravo regarding the Service and supersede any prior agreement on the same subject.
Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions remain in full force and effect.
No waiver. A failure by Bravo to enforce any provision of these Terms is not a waiver of that provision or any other.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, sale of assets, or other corporate transaction.
Electronic communications. You consent to receive communications from us electronically (by email or in-product notice). Electronic communications satisfy any legal requirement that a communication be in writing.
Headings. Section headings are for convenience only and do not affect interpretation.
